Scope and Contents

The file contains:

  • A printed copy of cross-licensing agreement with the National Automobile Chamber of Commerce (13 pages). The document is unsigned but bears the embossed seal of the Simplex Automobile Company.
  • Four copies (2 pages each) of a Resolution of the Board of Directors of the Simplex Automobile Company authorizing the transfer of a parcel of land to the Wasson Piston Ring Company for $2,971.85. The resolution is dated June 7, 1917.
  • A carbon copy of the by-laws of Simplex Automobile Company (18 pages, probably 1913).
  • A certified copy of a motion authorizing the President of Simplex to borrow $500,000 “as required for the current needs of the company” passed at a meeting held November 27, 1916 (3 pages). The copy is signed by Gordon Wilson and bears the embossed seal of the company.
  • A printed copy of the Annual Report of the Simplex Automobile Company signed by George H. Houston as President and W.J. Nixon as Secretary (4 pages).
  • An undated, unsigned transcript (1 page) of a resolution ratifying an April 19, 1917, agreement with the Enterprise Automobile Company relating to “the Dyer Patent.”
  • An undated, unsigned transcript (1 page) of a resolution ratifying conveyance of deeds to the St. Peter’s Catholic Church of New Brunswick, N.J.
  • Carbon copy of a letter (1 page) from Nixon to Chase National Bank citing resolution relating to discounting notes passed April 30, 1917.
  • Original signed memo (1 page) from O.H. Smith to Nixon proposing a resolution authorizing sale of property to the Wasson Piston Ring Co. Attached is a carbon copy (1 page) of a letter from Nixon to Frederick B. Adams announcing a special meeting for June 7, 1917, and an original signed memo from Smith to Nixon relating to the sale to Wasson.
  • Carbon copy of a resolution (1 page) authorizing payment passed at a meeting held June 7, 1917. The copy is signed by Nixon and is embossed with the seal of the company.
  • Carbon copy of a resolution (1 page) authorizing notes to the National Bank of New Jersey passed at a meeting held June 7, 1917.
  • Original signed memo from Smith to Nixon requesting certified copy of the resolution relating to the sale of land to Wasson Piston Ring Company dated August 17, 1917.
  • Original signed letter (1 page) on Wright-Martin Aircraft Corporation letterhead from George H. Houston to Nixon requesting a reminder about the annual stockholders’ meeting to be held in October dated September 18, 1917.
  • Original unsigned memo (3 pages) from Houston to Nixon suggesting re-election of the present Board and officers. The letter lists the names of the Board members and officers and notes “No action will be necessary on Glenn L. Martin’s resignation as his period of office expires next Monday.” Attached is a copy (1 page) of the Notice of Annual Meeting of Stockholders to be held October 15, 1917.
  • Original letter (1 page) from Hayden, Stone & Co. to Nixon informing him Mr. MacKelvie will be unable to attend the October 15 meeting.
  • Carbon copy of an oath (1 page) by Nixon to “faithfully, impartially and justly perform the duties of Secretary of the Simplex Automobile Company.” The unsigned oath is dated October 15, 1917.
  • Original letter (1 page) from Chadbourne & Shores to Nixon enclosing an affidavit for signature and insertion in the minute book.
  • Carbon copy of an extract (1 page) from the minutes of the meeting of October 15 authorizing depositories of the company to make payments.
  • Original signed memo (1 page) from Smith to Nixon relating to $64,600 of employee subscriptions to the first Liberty Loan.
  • Carbon copy of a memo (1 page) from Hibbard to Nixon requesting a meeting to approve his resignation as Vice President and the election of J.A. Donahue.
  • Carbon copy of a letter (1 page) from Hibbard to G.H. Houston and Nixon relating to the company’s note for $10,800 for the second Liberty Loan.
  • Carbon copy of a letter from Nixon to Frederick B. Adams dated December 5 announcing the regular meeting will be held December 12, 1917.
  • Carbon copy of an extract (1 page) from the minutes of a meeting of December 12 giving the text of a resolution authorizing issuance of notes for payments to allow employees to purchase Liberty Bonds on installment.
  • Carbon copy of a extract (1 page) from the minutes of a meeting of December 12 giving the text of a resolution motion to unanimously elect George H. Houston a Director to fill the vacancy caused by the resignation of C.B. Hibbard and elect Houston Vice-President.
  • Original memo (1 page) from Hibbard to Nixon dated December 14, 1917, relating to issuance of conditions under which employees subscribe to the first and second Liberty Loans.
  • Carbon copy of a memo (2 pages) from Hibbard to Houston dated December 21, 1917, giving details of subscriptions for the First and Second Liberty Loans.
  • Copy of a memorandum (1 page) listing requirements for holding an annual stockholders’ meeting on October 21, 1918.
  • Signed carbon copies of Waiver of Notice (4 pages) fixing the date of a special meeting of the Board of Directors for February 1, 1918. The waivers are signed by all the members of the Board of Directors.
