An agreement to form the Wright Company as a corporation under the laws of the State of New York signed by eleven stockholders on November 9, 1909. The stated purpose of the corporation is “to manufacture, sell, deal in, operate, or otherwise use…machines, ships, or other mechanical contrivances for aerial and land and water operation and navigation” and to “manufacture…motors, engines or other machinery for the generation of power for the propulsion of such machines.” The capital of the corporation is listed as $1,000,000 divided into ten thousand shares with the signers receiving a total of 8,000 shares in exchange for all rights and title to patents issued or applied for, “one aeroplane complete,” and all “plans, drawings, reports, records or other data relative to…contrivances for aerial navigation.” All of the signers subscribed for the purchase of $20,000 of stock except for Allan A.
