Scope and Contents

An unsigned file copy of an agreement between Orville Wright and the Wright Company in which Wright agrees to cancel the agreement of November 27, 1909 and assign all rights, title, and interests to all inventions in connection with heavier-than-air flying machines and all rights there under in Canada, Mexico, Central America, South America, and Asia. Wright also agreed to discharge all outstanding debts of the Wright Company and indemnify it from all loss and damages that might result from pending litigation. The agreement notes these actions are necessary to reduce the Wright Company’s indebtedness to Orville Wright and take advantage of “an opportunity to secure association with. . .new men of business ability who will bring with them necessary capital.” The agreement notes that Orville Wright succeeded to all rights of Wilbur on his death on May 30, 1912. The Wright Company agreed to execute its corporate bond for $250,000 secured by a mortgage on real estate at Dayton and on its patents. The agreement (5 pages) was to have been signed on October 15, 1915 by Lorin Wright as Vice President of the Wright Company and by Orville Wright with Katharine Wright attesting as Secretary and Pliny W. Williamson as witness. There are no signatures on this. Schedule A of the Agreement (6 pages) is a copy of the contract of November 27, 1909 which is being canceled. Schedule B of the Agreement (3 pages) is a copy of the Wright Company’s bond for $250,000 (original found in Box Two, folder 14). Schedule C of the Agreement (8 pages) is a detailed listing of all the real estate and patents covered by the agreement (original found in Box Two, Folder 17). 22 pages plus back cover.
