Agreement for the sale of the Wright Company, 1915 August 26

Scope and Contents

An Agreement between T. Frank Manville and Frederick Y. Robertson of New York and Orville Wright of Dayton, Ohio, for the sale of the Wright Company. The agreement states that the Wright Company has an authorized capital stock of $1,000,000 par value and is the owner of Patent Number 821,393 for “heavier-than-air flying machines. Robertson and Manville agree to pay Wright $250,000 for 7760 shares of stock (97% of the issued capital stock). The agreement specifies that a contract between the Wright Company and Wright will be entered into on the date of closing which is specified as October 25, 1915. The contract is annexed to the agreement and calls for the Wright Company to engage Orville Wright as a consulting engineer for $25,000 annually because he is “a pioneer in the art of flying, and has peculiar ability in connection therewith, and is an engineer of standing and repute.” Wright agrees to assign to the Company “such inventions as he may make in heavier-than-air flying machines and appurtenances thereto.” The Wright Company agrees that if it lists its stock on any stock exchange it will not do so until it changes its name “so that the name of Wright shall not appear therein.” The agreement is six pages and was signed by Orville Wright and by Robertson for himself and Manville on August 26, 1915. The proposed contract is three pages and is unsigned (a signed version is in Box Two, Folder 12). Both documents have some pen and ink changes to the typed text. 9 pages total.
