Scope and Contents

Transcript of the Certificate of Incorporation of the Wright Company certified as correct by the Second Deputy of State of New York, C.W. Taft, on October 1, 1920. The original Certificate was signed by Wilbur Wright, Orville Wright, George A. Steves, Henry S. Hooker, and Alpheus F. Barnes on June 18,1909, and notarized by J. R. Thomson in Montgomery County, Ohio, on June 20, 1909. The original was recorded by John M. Ebert, Clerk of the Common Pleas Court for Montgomery County on June 20, 1909, and subsequently filed and recorded in the Office of the Secretary of State of New York on November 22, 1909. The Certificate states the purposes of the corporation, the number of shares of stock to be issued (10,000), conditions for the payment of dividends, the amount of capital stock ($1,000,000), the number of directors (5), location of principal business office (Manhattan), and the names and post office address of each of the fifteen directors. The directors listed are: Wilbur Wright, Orville Wright, George A. Steves, Henry S. Hooker, and Alpheus F. Barnes who are also listed as the subscribers to the certificate with two shares of stock each. The purposes of the corporation listed include to manufacture, sell, deal in, operate or otherwise use machines, ships or other mechanical contrivances for aerial operation or navigation. 7 pages plus cover.
